Fifth Down is seeking an exceptional lawyer to support a broad range of legal matters across our investment platform. A strong foundation in venture capital, private equity and/or private investment funds will be critical to this role, along with the ability to operate across disciplines, partnering closely with internal stakeholders and outside counsel. The environment is fast-paced and dynamic, requiring comfort managing multiple priorities and exercising sound judgment. The right candidate will be a self-starter with a growth mindset, high degree of integrity, collaborative approach, and commitment to continuous learning and improvement.
General requirements:
• Juris doctor (JD) degree from an accredited law school
• 3-5 years of relevant legal experience in-house or at a top law firm, with a focus on venture capital, private equity and/or investment funds
• Active bar membership in at least one U.S. jurisdiction
• Strong drafting, analytical, and communication skills
Responsibilities:
• Supporting the legal aspects of venture capital and private fund investments, including direct investments, fund-of-funds investments, and secondary purchases
• Assisting with fund formation and ongoing investment adviser compliance
• Reviewing, drafting, and negotiating investment-related agreements
• Coordinating with external counsel while maintaining internal ownership of matters
• Partnering closely with investor relations, finance, and investment teams
