Job Description:
• Collaborate with executives and partners in Finance, Accounting, Investor Relations, and teams across Yelp to draft clear and accurate public disclosures.
• Help shape Board and committee agendas and take part in committee meetings.
• Draft, update, and maintain corporate governance policies.
• Team up with Investor Relations and Public Relations on shareholder communications.
• Streamline and improve processes to ensure timely, efficient public company reporting.
• Lead the legal side of M&A transactions and negotiate deal documents.
• Support our stock administration team with equity plans, trading windows, 10b5-1 plans, and related matters.
• Stay on top of changes in the legal landscape, flag risks, and recommend practical solutions.
• Work closely with outside counsel on a range of high-impact matters.
Requirements:
• Juris Doctor (JD) and active state bar membership in good standing
• 4+ years of corporate legal experience with a focus on public company securities law and SEC reporting
• Deep understanding of SEC rules, regulations, and forms
• In-house experience is a plus
• M&A experience is a plus
• Strong work ethic, sound judgment, and a team-first mentality
• Can-do attitude and willingness to dive into the details
• Proven success working cross-functionally with a wide range of teams
• Ability to break down complex legal requirements and provide practical, business-minded advice
• Excellent legal and business judgment, with a creative approach to problem-solving
• Outstanding written and verbal communication skills, with a keen eye for detail and organization.
